Arborgold Terms and Conditions

PLEASE READ CAREFULLY: THESE TERMS AND CONDITIONS (THESE “TERMS AND CONDITIONS”) ARE A LEGAL AND BINDING PART OF THE APPLICABLE ORDER FORM THAT REFERENCES THESE TERMS AND CONDITIONS (THE “ORDER FORM”; AND COLLECTIVELY WITH THESE TERMS AND CONDITIONS, THE “AGREEMENT”), BY AND BETWEEN THE CUSTOMER NAMED IN THE ORDER FORM (HEREIN REFERRED TO AS, “CUSTOMER”) AND TREE MANAGEMENT SYSTEMS, LLC DBA ARBORGOLD  (“ARBORGOLD”). COLLECTIVELY, ARBORGOLD AND CUTOMER MAY BE REFERRED TO AS THE “PARTIES” OR IN THE SINGULAR AS “PARTY”.  USE OF THE ARBORGOLD SERVICES, INCLUDING WITHOUT LIMITATION ALL ASSOCIATED DOCUMENTATION, IS SUBJECT TO THESE TERMS AND CONDITIONS, WHICH ARE INCORPORATED INTO AND FORM AN INTEGRAL PART OF THE AGREEMENT. BY USING THE SERVICES OR OTHERWISE SIGNIFYING ACCEPTANCE OF THE ORDER FORM, CUSTOMER AGREES TO THE ORDER FORM AND THESE TERMS AND CONDITIONS.

1. Agreement. The Agreement between the Parties consists of these Terms and Conditions and the applicable Order Form. If there is any conflict between these Terms and Conditions and the Order Form, then these Terms and Conditions shall control unless the Order Form expressly modifies these Term and Conditions with a reference to Section modified.

2. Definitions.

(a) “Additional Services” means any additional services purchased by Customer as set forth in an Order Form.

(b) "Authorized User" means Customer's employees, consultants, contractors, and agents (i) who are authorized by Customer to access and use the Services under the rights granted to Customer pursuant to this Agreement; (ii) for whom access to the Services has been purchased hereunder; (iii) who are using the Services solely for Customer’s benefit; and (iv) are not competitors of Arborgold.

(c) "Customer Data" means, other than Arborgold Data, any information, data, and other content, in any form or medium, that is submitted by or on behalf of Customer or an Authorized User to the Services.

(d) "Deidentified" with regard to data or information, means data or information that neither identifies nor provides a reasonable basis to identify a company or an individual, where, without limitation, the following identifiers have been removed: company names and the names of individuals, addresses, account numbers, other identification numbers, phone numbers, e-mail address(es) and any other information which could reasonably be anticipated to identify, when taken in the aggregate, a specific company, organization or individual.

(e) “Arborgold Materials” means the Services, and Arborgold’s systems and any and all other information, data, documents, materials, works, and other content, devices, methods, processes, hardware, software, and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans, or reports, that are provided or used by Arborgold in connection with the Services or otherwise comprise or relate to the Services or Arborgold’s systems. For the avoidance of doubt, Arborgold Materials includes any Feedback and Arborgold Data, but does not include Customer Data.

(f) “Order Form” means a Arborgold order document executed by both Parties.

(g) "Arborgold Data" means data or information created, collected, or compiled by or on behalf of Arborgold including and any information, data, or other content derived from Arborgold's monitoring of Customer's access to or use of the Services as well as Deidentified Customer Data, but does not include Customer Data that is not Deidentified.

(h) "Arborgold IP" means the intellectual property rights in and to the Arborgold Materials and any and all other intellectual property provided to Customer or any Authorized User in connection with the foregoing.

(i) “SaaS Offering” means the software-as-a-service offerings purchased by Customer as set forth in each Order Form.

(j) "Services" means the SaaS Offerings and Additional Services.

(k) “Subscription Term” means, for each SaaS Offering the subscription term identified in the applicable Order Form subject to termination in accordance with Section 12.

(l) "Third-Party Products" means any third-party products described in the Order Form provided with or incorporated into the Services.

 

3. Access and Use; Additional Services.

(a) Provision of Access. Subject to and conditioned on Customer's compliance with the terms and conditions of this Agreement, Arborgold will provide Customer with access the SaaS Offerings during the applicable Subscription Term, solely for use by Authorized Users in accordance with the these terms and conditions and subject to any restrictions in the Order Form. To the extent the Order Form includes a number of users, amount of storage, or other parameter, Customer may not use more than the specified parameter (or, as applicable, use the Services in support of more than the specified parameter) without purchasing additional usage rights. Arborgold may change or update the Arborgold Materials from time to time. The terms “Services” and “Arborgold Materials” shall include all updates provided by Arborgold.

(b) Use Restrictions. Customer shall not access or use the Services for any purposes beyond the scope of the access granted in this Agreement. Customer shall not, and shall not permit any other person to, directly or indirectly: (i) copy, modify, or create derivative works of the Arborgold Materials, in whole or in part; (ii) decrypt, circumvent, bypass, breach, or disable any security or other technological features or measures of the Arborgold Materials; (iii) access or attempt to access or use the Services for purposes of competitive analysis of the Arborgold Materials, the development, provision, or use of a competing software service or product or any other purpose that is to the Arborgold’s detriment or commercial disadvantage; (iv) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Arborgold Materials to a third party including on or in connection with the internet or any time-sharing, service bureau, software as a service, cloud, or other technology or service (other than an Authorized User as expressly permitted by this Agreement); (v) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Arborgold Materials, in whole or in part; (vi) remove any proprietary notices from the Arborgold Materials; (vii) perform any security or penetration testing of the Arborgold Materials; (viii) input, upload, transmit, or otherwise provide to or through the Services, any information or materials that are unlawful or injurious, or contain, transmit, or activate any virus, trojan horse, or other malicious code; (ix) damage, destroy, disrupt, disable, impair, interfere with, or otherwise impede or harm in any manner the Arborgold Materials or Arborgold’s provision of services to any third party; or (x) use the Arborgold Materials in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law. However, where Customer has other rights under statute that make any portion of the foregoing contractual prohibition void, Customer agrees to provide Arborgold with reasonably detailed information regarding any intended disassembly or de-compilation. Customer may not access the Services if Customer is or becomes a direct competitor of Arborgold. The access rights provided under this Agreement are granted to the Customer only, and shall not extend to any subsidiary, parent company, or other affiliate of Customer. Authorized Users may not share passwords or other login credentials and are responsible for maintaining the confidentiality and security of their login credentials.

(c) Reservation of Rights; Feedback. Arborgold reserves all rights not expressly granted to Customer in this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Arborgold IP. If Customer provides any suggestions, ideas, enhancement requests, feedback (including identifying potential errors and improvements), recommendations or other information relating to the Services to Arborgold (collectively “Feedback”), then Arborgold may use the Feedback without payment or restriction.

(d) Suspension. Notwithstanding anything to the contrary in this Agreement, Arborgold may temporarily suspend Customer's and any Authorized User's access to any portion or all of the Services if: (i) Arborgold reasonably determines that (A) there is a threat or attack on any of the Arborgold Materials; (B) Customer's or any Authorized User's use of the Arborgold IP disrupts or poses a security risk to the Arborgold Materials or to any other customer or vendor of Arborgold; (C) Customer, or any Authorized User, is using the Arborgold Materials for fraudulent or illegal activities; (D) subject to applicable law, Customer has ceased to continue its business in the ordinary course, made an assignment for the benefit of creditors or similar disposition of its assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceeding; (E) Arborgold's provision of the Services to Customer or any Authorized User is prohibited by applicable law or (F) Customer is using the Services in violation of the restrictions in this Agreement; (ii) any vendor of Arborgold has suspended or terminated Arborgold's access to or use of any third-party services or products required to enable Customer to access the Services; or (iii) in accordance with Section 6(a)(iii) (any such suspension described in subclause (i), (ii), or (iii), a “Service Suspension”). Arborgold shall use commercially reasonable efforts to: (1) provide written notice of any Service Suspension to Customer and to provide updates regarding resumption of access to the Services following any Service Suspension; and (2) resume providing access to the Services as soon as reasonably possible after the event giving rise to the Service Suspension is cured. Arborgold will have no liability for any damage, liabilities, losses (including any loss of data or profits), or any other consequences that Customer or any Authorized User may incur as a result of a Service Suspension.

(e) Additional Services. Arborgold shall provide Additional Services set forth in the applicable Order Form. Customer shall provide all information, data, and assistance reasonably requested by Arborgold to assist in the provision of the Additional Services.

 

4. Customer Responsibilities.

(a) General. Customer is responsible and liable for all uses of the Services resulting from access provided by Arborgold, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement. Customer shall ensure that Authorized Users comply with the terms and conditions contained in this Agreement. Customer shall: (a) set up, maintain, and operate in good repair all Customer systems on or through which the Services are accessed or used; and (b) provide all data, information, cooperation, and assistance as Arborgold may reasonably request, including access to Customer systems, to enable Arborgold to exercise its rights and perform its obligations under and in connection with this Agreement. Arborgold is not responsible or liable for any delay or failure of performance caused in whole or in part by Customer’s delay in performing, or failure to perform, any of its obligations under this Agreement.

(b) Third-Party Products. Arborgold may from time to time make Third-Party Products available to Customer. Such Third-Party Products are subject to their own terms and conditions and any flow-through provisions referred to in the applicable Order Form. Customer hereby agrees to abide by the applicable terms for any such Third-Party Products.

 

5. Support; Backup. The access rights granted hereunder entitle Customer to the standard support services described on Arborgold's website located at https://Arborgold.com/about-Arborgold/policies/ (the “Support Site”) as it may be updated from time to time. Arborgold will use commercially reasonable efforts to provide the backup services described at the Support Site.

 

6. Fees and Payment.

(a) Fees. Customer shall pay Arborgold the fees ("Fees") as set forth in each Order Form. All payments hereunder shall be made in US dollars and due within thirty days of receipt of the applicable invoice. If Customer fails to make any payment when due, without limiting Arborgold's other rights and remedies: (i) Arborgold may charge interest on the past due amount at the rate of 1.5% per month calculated daily and compounded monthly or, if lower, the highest rate permitted under applicable law; (ii) Customer shall reimburse Arborgold for all costs incurred by Arborgold in collecting any late payments or interest, including attorneys' fees, court costs, and collection agency fees; and (iii) if such failure continues for fifteen days or more, Arborgold may suspend Customer's and its Authorized Users' access to any portion or all of the Services until such amounts are paid in full.

(b) Taxes. All Fees and other amounts payable by Customer under this Agreement are exclusive of taxes and similar assessments. Customer is responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental or regulatory authority on any amounts payable by Customer hereunder, other than any taxes imposed on Arborgold's income.

(c) Auditing Rights and Required Records. Customer agrees that Arborgold may audit Customer’s facility and records to confirm compliance with the terms of this Agreement during the Term and for two years thereafter. Arborgold agrees to provide reasonable written notice prior to conducting such an audit and agrees to conduct the audit during regular business hours without unreasonably interfering with Customer’s normal business operation. No more than one audit may be conducted in any twelve-month period unless Arborgold reasonably and good faith believes that Customer is in violation of the terms of this Agreement. The Customer shall cooperate with Arborgold’s personnel conducting such audits and provide all reasonable access requested by Arborgold to records, systems, equipment, information, and personnel, including machine IDs, serial numbers, and related information.

 

7. Confidential Information. From time to time during the Term, either Party may disclose or make available to the other Party information about its business affairs, products, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, whether orally or in written, electronic, or other form or media/in written or electronic form or media, that either (i) is marked, designated, or otherwise identified as "confidential" or (ii) a reasonable person would know was confidential or proprietary based upon markings, the nature of the information, or the manner of disclosure (collectively, "Confidential Information"). Without limiting the foregoing, Arborgold’s “Confidential Information” shall include all features and functionality of the Services or Arborgold Materials and the results of any benchmark or other tests of the Arborgold Materials. Confidential Information does not include information that, at the time of disclosure is: (a) publicly available; (b) known to the receiving Party at the time of disclosure; (c) rightfully obtained by the receiving Party on a non-confidential basis from a third party; or (d) independently developed by the receiving Party. The receiving Party shall not disclose the disclosing Party's Confidential Information to any person or entity, except to the receiving Party's employees who have a need to know the Confidential Information for the receiving Party to exercise its rights or perform its obligations hereunder. Notwithstanding the foregoing, each Party may disclose Confidential Information to the limited extent required (i) in order to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable law, provided that the Party making the disclosure pursuant to the order shall first have given written notice to the other Party and made a reasonable effort to obtain a protective order; or (ii) to establish a Party's rights under this Agreement, including to make required court filings. On the expiration or termination of the Agreement, the receiving Party shall promptly return to the disclosing Party all copies, whether in written, electronic, or other form or media, of the disclosing Party's Confidential Information, or destroy all such copies and certify in writing to the disclosing Party that such Confidential Information has been destroyed. Each Party's obligations of non-disclosure with regard to Confidential Information are effective as of the Effective Date and will expire five years from the date first disclosed to the receiving Party; provided, however, with respect to any Confidential Information that constitutes a trade secret (as determined under applicable law), such obligations of non-disclosure will survive the termination or expiration of this Agreement for as long as such Confidential Information remains subject to trade secret protection under applicable law.

 

8. Intellectual Property Ownership.

(a) Arborgold IP. Customer acknowledges that, as between Customer and Arborgold, Arborgold owns all right, title, and interest, including all intellectual property rights, in and to the Arborgold IP and, with respect to Third-Party Products, the applicable third-party providers own all right, title, and interest, including all intellectual property rights, in and to the Third-Party Products. Notwithstanding anything to the contrary in this Agreement, Arborgold may collect, compile, and create Arborgold Data including Arborgold Data created with Deidentified Customer Data. As between Arborgold and Customer, all right, title, and interest in Arborgold Data, and all intellectual property rights therein, belong to and are retained solely by Arborgold. To the extent Customer has any intellectual property rights in or to the Arborgold Data, Customer hereby grants to Arborgold a non-exclusive, irrevocable, perpetual, sublicensable (through multiple tiers), assignable, worldwide, royalty-free and fully paid license to reproduce, distribute, modify, and otherwise use and display the Arborgold Data for any and all purposes. Customer agrees that Arborgold may make Deidentified Customer Data available to third parties and use Deidentified Customer Data for any and all purposes. For the avoidance of doubt, Customer Data that is not Deidentified will not be disclosed to third parties, other than to Arborgold’s subcontractors who need the Customer Data for performance of the Services, without Customer’s written consent.

(b) Customer Data. Arborgold acknowledges that, as between Arborgold and Customer, Customer owns all right, title, and interest, including all intellectual property rights, in and to the Customer Data. Customer hereby grants to Arborgold a non-exclusive, royalty-free and fully-paid, term-limited, sublicensable (through multiple tiers), worldwide license to reproduce, distribute, and otherwise use and display the Customer Data and perform all acts with respect to the Customer Data as may be useful or necessary for Arborgold to provide the Services to Customer or improve Arborgold’s offerings and to create Deidentified Data. Customer, not Arborgold, shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all Customer Data. Customer represents and warrants that: (i) Customer has the right to grant the licenses in this Agreement for the Customer Data, (ii) the Customer Data, the provision of Customer Data to Arborgold under this Agreement, and the use of the Customer Data as permitted by this Agreement does not and will not violate the privacy rights, publicity rights, copyright rights, or other rights of any person or entity, and (iii) Customer shall use the Services in compliance with applicable laws.

(c) Loss of Data. In the event of any loss, destruction, damage, or corruption of Customer Data caused by the Arborgold Materials, Arborgold will, as its sole obligation and liability and as Customer’s sole remedy, use commercially reasonable efforts to restore the Customer Data.

 

9. Limited Warranty and Warranty Disclaimer.

(a) Mutual Representations and Warranties. Each Party represents and warrants that: (i) it has the legal power to enter into this Agreement; (ii) the signatory hereto has the authority to bind the applicable organization; and (iii) when executed and delivered, this Agreement will constitute the legal, valid, and binding obligation of such Party, enforceable in accordance with its terms, subject to bankruptcy, insolvency, moratorium, reorganization, or similar laws affecting the rights of creditors generally and the availability of equitable remedies.

(b) Services Warranty. Arborgold represents and warrants that the Services will contain the functionality described in the applicable package purchased by Customer as set forth in the Arbor Gold Features chart on the Arborgold website in all material respects and that all Services will be performed in a professional and workmanlike manner. The foregoing warranty shall not include any non-conformances caused by non-compliance with Arborgold’s reasonable instructions or any breach of this Agreement. CUSTOMER’S EXCLUSIVE REMEDY, AND ARBORGOLD’S ENTIRE LIABILITY, FOR ANY BREACH OF THIS SECTION 9 OR THE FAILURE OR UNAVAILABILITY OF THE SERVICES, IS LIMITED TO, AT ARBORGOLD’S OPTION, THE REPAIR OF ANY MATERIAL, REPRODUCIBLE IMPAIRMENT TO THE FEATURES AND FUNCTIONALITY IN THE SERVICES (OR DEFECTIVE PORTION OF THE SERVICES), REPERFORMANCE OF THE SERVICES, OR REFUNDING ANY FEES PAID TO ARBORGOLD FOR THE DEFICIENT SERVICES FOR THE REMAINDER OF THE THEN-CURRENT CONTRACT YEAR, IN WHICH CASE, CUSTOMER SHALL IMMEDIATELY RETURN AND CEASE USE OF THE SERVICES.

(c) DISCLAIMERS. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ARBORGOLD MATERIALS ARE PROVIDED “AS IS” AND ARBORGOLD EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES WITH RESPECT TO THE ARBORGOLD MATERIALS, WHETHER EXPRESS, IMPLIED, ARISING BY LAW, USAGE OF TRADE, COURSE OF DEALING, COURSE OF PERFORMANCE, PRIOR ORAL OR WRITTEN STATEMENTS, OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, ARBORGOLD DOES NOT WARRANT (I) THAT THE ARBORGOLD MATERIALS OR THE SERVICES WILL BE FREE FROM ANY INTERRUPTIONS, DELAYS, INACCURACIES, SERVER DOWN-TIME, ERRORS, OR OMISSIONS, (II) THE PERFORMANCE OR RESULTS CUSTOMER MAY OBTAIN BY RECEIVING OR USING THE ARBORGOLD MATERIALS, OR (III) THAT THE ARBORGOLD MATERIALS WILL MEET CUTOMER’S OR ANY OTHER PARTY’S REQUIREMENTS. NO REPRESENTATION OR OTHER AFFIRMATION OF FACT, INCLUDING STATEMENTS REGARDING CAPACITY, SUITABILITY FOR USE, OR PERFORMANCE OF THE ARBORGOLD MATERIALS, NOT CONTAINED IN THIS AGREEMENT SHALL BE DEEMED TO BE A WARRANTY, CONDITION, REPRESENTATION, OR GUARANTY BY ARBORGOLD.

 

10. Indemnification.

(a) Arborgold Indemnification.
(i) Provided that Customer complies with the procedures set forth in Section 10(c) and subject to the exclusions below, Arborgold will, at Arborgold’s expense, defend and/or settle any claim, suit or proceeding brought by a third party against Customer or Customer’s officers, directors, employees, agents and affiliates (collectively, “Customer Parties”) alleging that the SaaS Offering, as provided by Arborgold, infringes any copyright, trademark, trade secret or patent protectable under U.S. law that is issued as of the date of this Agreement. In addition, Arborgold will pay any judgment awarded against Customer or any settlement amount agreed to by Arborgold for the indemnified claim. THIS INDEMNITY IS THE CUSTOMER’S EXCLUSIVE REMEDY AND ARBORGOLD’S SOLE OBLIGATION AND LIABILITY WITH RESPECT TO ANY CLAIM OF INFRINGEMENT.
(ii) Arborgold will have no obligation under this Section 10(a) with respect to any claim of infringement arising out of or based upon: (i) Customer Data, (ii) use of the Services in any manner other than as expressly authorized and contemplated in this Agreement and the Arborgold documentation, (iii) the combination of the Services with any other software, hardware, material, or processes, or (iv) Customer otherwise causing the Services to become infringing (collectively, the “Indemnity Exclusions”).
(iii) If Arborgold reasonably believes that a claim of infringement relating to the Services may arise, Arborgold may, without limiting Arborgold’s indemnity obligations hereunder, procure the right for Customer to continue to use the Services or modify the Services in a functionally equivalent manner so as to avoid such claim of infringement. If the foregoing options are not available on commercially reasonable terms and conditions, Arborgold may immediately terminate the Agreement and refund to Customer a prorated amount of prepaid fees for access to the Services actually paid by Customer for the remainder of the then-current term.

(b) Customer Indemnification. Provided that Arborgold complies with the procedures set forth in Section 10(c), Customer will, at Customer’s expense, defend and/or settle any claim, suit or proceeding brought by a third party against Arborgold or Arborgold’s officers, directors, employees, agents and affiliates (collectively, “Arborgold Parties”) and arising out of or related to Customer Data, the Indemnity Exclusions, or any Customer breaches of Section 3. In addition, Customer will pay any judgment awarded against Arborgold or any settlement amount agreed to by Customer for the indemnified claim.

(c) Procedures. If one Party (the “Indemnitee”) receives any notice of a claim or other allegation with respect to which the other Party (the “Indemnitor”) has an obligation of indemnity hereunder, then the Indemnitee will promptly give the Indemnitor written notice of such claim or allegation setting forth in reasonable detail the facts and circumstances surrounding the claim. The Indemnitee will not make any admission of liability or take any other action that limits the ability of the Indemnitor to defend the claim. The Indemnitee shall grant the Indemnitor full control of the defense and/or settlement of such claim or allegation, including the selection and employment of counsel. The Indemnitee will fully cooperate as reasonably requested, at the expense of the Indemnitor, in the defense or settlement of the claim. The Indemnitee shall have the right, at its own expense, to employ separate counsel and participate in the defense or settlement of the claim in an advisory capacity. The Indemnitor shall have no liability for costs or expenses incurred by the Indemnitee, except to the extent authorized by the Indemnitor or pursuant to this procedure.

 

11. Limitations of Liability.

(a) TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT OR ELSEWHERE: (I) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE ARBORGOLD PARTIES EXCEED THE AMOUNTS ACTUALLY PAID BY CUSTOMER TO ARBORGOLD UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY HEREUNDER; (II) IN NO EVENT SHALL ANY ARBORGOLD PARTY BE LIABLE TO ANY CUSTOMER PARTY OR THIRD PARTY FOR, AND CUSTOMER AND EACH CUSTOMER PARTY HEREBY WAIVES ANY CLAIM AGAINST ANY ARBORGOLD PARTY FOR, ANY INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, EXEMPLARY, SPECIAL, LOSS OF DATA, OR LOST PROFITS DAMAGES OF ANY KIND (INCLUDING ANY LOST REVENUE, PROFITS, SAVINGS, BUSINESS OPPORTUNITIES, USE, OR GOODWILL) HOWEVER ARISING.

(b) THE LIMITATIONS OF LIABILITY ABOVE SHALL APPLY: (A) TO ALL CLAIMS IN THE AGGREGATE ARISING UNDER OR RELATING TO THIS AGREEMENT OR THE SUBJECT MATTER OF THIS AGREEMENT; (B) REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UNDER WHICH THE CLAIM ARISES, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), INDEMNITY, STRICT LIABILITY, OR OTHERWISE; (C) REGARDLESS OF WHETHER SUCH DAMAGES ARE FORESEEABLE OR ARBORGOLD HAS BEEN ADVISED OF THE POSSIBILITY OR LIKELIHOOD OF SUCH DAMAGES; AND (D) REGARDLESS OF IF THE REMEDIES UNDER THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE. THE LIMITATION OF LIABILITY IS AN AGGREGATE LIMIT AND WILL NOT BE INCREASED BY THE EXISTANCE OF MORE THAN ONE CLAIM.

(c) THE DISCLAIMER OF WARRANTIES AND LIMITATIONS OF LIABILITY CONTAINED IN THIS AGREEMENT ARE FUNDAMENTAL PARTS OF THE BASIS OF ARBORGOLD’S BARGAIN HEREUNDER, AND CUSTOMER ACKNOWLEDGES THAT SUCH PROVISIONS REPRESENT A REASONABLE ALLOCATION OF RISK. Since some states do not allow certain limitations or exclusions of warranties or liability, some or all of the limitations and exclusions set forth in this Section may be held unenforceable as applied to Customer. In such cases, Arborgolds’s liability shall be limited to the greatest extent permitted under applicable law.

 

12. Term and Termination.

(a) Term. The term of this Agreement (the “Term”) begins on the Effective Date and will continue until the Order Form expires unless earlier terminated pursuant to the terms of this Agreement.

(b) Termination. Either Party may terminate this Agreement, effective on written notice to the other Party, if the other Party materially breaches this Agreement, and such breach remains uncured 30 days after the non-breaching Party provides the breaching Party with written notice of such breach specifying the breach in reasonable detail. Either Party may terminate this Agreement, effective immediately upon written notice to the other Party, if the other Party: (A) becomes insolvent or is generally unable to pay, or fails to pay, its debts as they become due; (B) files or has filed against it, a petition for voluntary or involuntary bankruptcy or otherwise becomes subject, voluntarily or involuntarily, to any proceeding under any domestic or foreign bankruptcy or insolvency law; (C) makes or seeks to make a general assignment for the benefit of its creditors; or (D) applies for or has appointed a receiver, trustee, custodian, or similar agent appointed by order of any court of competent jurisdiction to take charge of or sell any material portion of its property or business.

(c) Effect of Expiration or Termination. Upon expiration or earlier termination of this Agreement, Customer shall immediately discontinue use of the Arborgold Materials and, without limiting Customer's obligations under Section 7, Customer shall delete, destroy, or return all copies of the Arborgold Materials and certify in writing to Arborgold that the Arborgold Materials have been deleted or destroyed. Customer may request return of Customer Data within thirty days of the date of termination. No expiration or termination will affect Customer's obligation to pay all Fees that may have become due before such expiration or termination or entitle Customer to any refund.

(d) Survival. This Section 12(d) and Sections 1, 2, 3(c), 6, 7, 8, 9(c), 10, 11, and 13 survive any termination or expiration of this Agreement. No other provisions of this Agreement survive the expiration or earlier termination of this Agreement.

 

13. Miscellaneous.

(a) Entire Agreement. This Agreement, together with any other documents incorporated herein by reference and all related Exhibits, constitutes the sole and entire agreement of the Parties with respect to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings, agreements, and representations and warranties, both written and oral, with respect to such subject matter.

(b) Notices. All notices, requests, consents, claims, demands, waivers, and other communications hereunder (each, a "Notice") must be in writing and addressed to the Parties at the addresses set forth on the first page of this Agreement (or to such other address that may be designated by the Party giving Notice from time to time in accordance with this Section). All Notices must be delivered by personal delivery, nationally recognized overnight courier (with all fees pre-paid) or certified or registered mail (in each case, return receipt requested, postage pre-paid). Except as otherwise provided in this Agreement, a Notice is effective only: (i) upon receipt by the receiving Party; and (ii) if the Party giving the Notice has complied with the requirements of this Section.

(c) Force Majeure. In no event shall either Party be liable, or be deemed to have breached this Agreement, for any failure or delay in performing its obligations under this Agreement (except for any obligations to make payments), if and to the extent such failure or delay is caused by any circumstances beyond such Party's reasonable control, including but not limited to acts of God, flood, fire, earthquake, epidemic or other illness, explosion, war, terrorism, invasion, riot or other civil unrest, cyber attacks, strikes, labor stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.

(d) Amendment and Modification. Arborgold may modify this Agreement from time to time, by posting the modified portion(s) of this Agreement on Arborgold’s website at https://Arborgold.com/terms-and-conditions/. Arborgold must use commercially reasonable efforts to post any such modification at least thirty days prior to its effective date. Modifications to this Agreement will take effect at the next renewal of the Term as set forth in the Order Form unless either party elects to not renew pursuant to the Order Form. Alternatively, this Agreement may be modified by the written agreement of both Parties.

(e) ; Waiver. No amendment to or modification of this Agreement is effective unless it is in writing and signed by an authorized representative of each Party. No waiver by any Party of any of the provisions hereof will be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, (i) no failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement will operate or be construed as a waiver thereof, and (ii) no single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

(f) Severability. If any provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon such determination that any term or other provision is invalid, illegal, or unenforceable, the Parties shall negotiate in good faith to modify this Agreement so as to affect their original intent as closely as possible in a mutually acceptable manner in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.

(g) GOVERNING LAW; SUBMISSION TO JURISDICTION. THIS AGREEMENT IS GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF THE STATE OF DELAWARE WITHOUT GIVING EFFECT TO ANY CHOICE OR CONFLICT OF LAW PROVISION OR RULE THAT WOULD REQUIRE OR PERMIT THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THOSE OF THE STATE OF DELAWARE. ANY LEGAL SUIT, ACTION, OR PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE LICENSES GRANTED HEREUNDER WILL BE INSTITUTED EXCLUSIVELY IN THE FEDERAL COURTS OF THE UNITED STATES OR THE COURTS OF THE STATE OF DELAWARE IN EACH CASE LOCATED IN KENT COUNTY DELAWARE, AND EACH PARTY IRREVOCABLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS IN ANY SUCH SUIT, ACTION, OR PROCEEDING. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY DISCLAIMED.

(h) Assignment. Customer may not assign this Agreement, in each case whether voluntarily, involuntarily, by operation of law or otherwise, without the prior written consent of Arborgold, which consent shall not be unreasonably withheld. For the avoidance of doubt, Arborgold may assign this Agreement, without the consent of Customer, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of Arborgold’s assets. Any purported assignment in violation of this Section will be null and void. This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns.

(i) Export Regulation. Customer shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), that prohibit or restrict the export or re-export of the Services or any Customer Data outside the US.

(j) US Government Rights. The software components that constitute the Services is a "commercial product" as that term is defined at 48 C.F.R. § 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. § 12.212. Accordingly, if Customer is an agency of the US Government or any contractor therefor, Customer only receives those rights with respect to the Services as are granted to all other end users, in accordance with (a) 48 C.F.R. § 227.7201 through 48 C.F.R. § 227.7204, with respect to the Department of Defense and their contractors, or (b) 48 C.F.R. § 12.212, with respect to all other US Government users and their contractors.

(k) Equitable Relief. Each Party acknowledges and agrees that a breach or threatened breach by such Party of any of its obligations under Section 7 or, in the case of Customer, Section 3, would cause the other Party irreparable harm for which monetary damages would not be an adequate remedy and agrees that, in the event of such breach or threatened breach, the other Party will be entitled to seek equitable relief, including a restraining order, an injunction, specific performance, and any other relief that may be available from any court, without any requirement to post a bond or other security. Such remedies are not exclusive and are in addition to all other remedies that may be available at law, in equity, or otherwise.

(l) Cumulative Remedies. Except as otherwise set forth in this Agreement, the remedies set forth in this agreement are cumulative and are in addition to and not in substitution for any other rights and remedies available at law or in equity or otherwise.
